Terms of Service

Effective Date: September 27, 2026

These Terms of Service ("Terms") are an agreement between you and Doin, LLC ("Doin," "ShareTrack," "we," "our," or "us"), the publisher of ShareTrack. They govern your access to and use of ShareTrack's cap table and certificate management platform: the web application at app.sharetrack.org, its public pages for shareholders, the ShareTrack Water mobile app for iPhone and Android, and all features, integrations, and related services (collectively, the "Service"). By accessing or using ShareTrack, you agree to be bound by these Terms.

Companies, districts, and trusts ("Organizations") subscribe to ShareTrack to keep their shareholder records. Each Organization's administrator creates the accounts for its staff, board members, ditch riders, and shareholders. Shareholders and members of the public can also use the public pages and the ShareTrack Water app without an account.

1. Acceptance of Terms

By signing in to an account, or by accessing or using ShareTrack, you confirm that you:

  • Are at least 18 years of age
  • Have the legal authority to bind yourself or your organization to these Terms
  • Accept these Terms, our Privacy Policy, and our End User License Agreement
  • Will comply with all applicable laws and regulations

If you are using ShareTrack on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

ShareTrack provides a cloud-based platform for:

  • Managing stock certificates, cap tables, and ownership records
  • Tracking certificate genealogy, transfers, and splits
  • Generating and managing shareholder invoices and assessments
  • Recording, transcribing, and generating AI-drafted board meeting minutes
  • Submitting and approving expense reimbursements with receipts
  • Publishing irrigation schedules and ditch water status
  • Integrating with third-party services such as QuickBooks Online
  • Public pages where shareholders can look up their certificates and latest invoice, request a transfer with supporting documents, request a replacement certificate with a notarized affidavit of loss, and view irrigation schedules, which an Organization can protect with a company code
  • The ShareTrack Water mobile app, which shows the irrigation schedule and water status, lets users report no water or low water, and sends optional push alerts to signed-in members, as described in our End User License Agreement

ShareTrack has no self-service sign-up and no in-app purchases. Organizations request an account by emailing support@sharetrack.org, and the ShareTrack Water app is free.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Security

3.1 Account Creation

Accounts are created by your Organization's administrator, who is responsible for giving us accurate information about each user. We email each new user a link to set their password. To use an account, you must:

  • Make sure your name, email address, and organization are accurate, and ask your administrator to update them when they change
  • Create a strong password meeting our security requirements
  • Keep your login credentials confidential and secure

3.2 Account Security

  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized access or security breach
  • We may require multi-factor authentication for enhanced security
  • We reserve the right to suspend accounts with suspected security issues

3.3 User Management

Account administrators are responsible for:

  • Creating accounts for their organization's users and assigning each one a role
  • Managing user access and permissions within their organization
  • Linking shareholder accounts to the correct shareholder record
  • Ensuring users comply with these Terms
  • Promptly removing access for departed employees or unauthorized users

4. Third-Party Integrations

4.1 QuickBooks Online Integration

When you authorize the QuickBooks Online integration:

  • You grant ShareTrack permission to access your QuickBooks data as described in our Privacy Policy
  • We will access only the data necessary to provide the integration functionality
  • We will not share your QuickBooks data with third parties except as necessary to provide the Service
  • We will not use QuickBooks data for any purpose other than providing the integration features
  • Your Organization may disconnect the integration at any time in ShareTrack

Your use of QuickBooks Online is also subject to Intuit's Terms of Service and Privacy Policy.

4.2 Deepgram Integration (Audio Transcription)

ShareTrack uses Deepgram for audio transcription of board meeting recordings:

  • You grant ShareTrack permission to send your Organization's meeting audio to Deepgram for transcription
  • Deepgram fetches the audio through a private link that expires after 6 hours, and its handling and retention of audio are governed by its own terms and privacy policy
  • Transcripts are returned to ShareTrack and stored with the meeting, and we delete the meeting audio from ShareTrack 30 days after it is transcribed
  • Transcripts label speakers by number, not name, and can contain errors such as misheard words or wrong speaker labels. Your Organization must review a transcript before relying on it
  • Audio transcription is optional—you may enter minutes manually

Your use of Deepgram through ShareTrack is subject to Deepgram's Terms of Service and Privacy Policy.

4.3 OpenAI Integration (AI Minutes Generation)

ShareTrack uses OpenAI to generate meeting minutes from transcripts:

  • You grant ShareTrack permission to send meeting transcripts or notes, and the meeting's name, date, time, location, attendees, and objective, to OpenAI for processing
  • OpenAI does not use API data to train their models
  • OpenAI may retain data for up to 30 days for abuse monitoring
  • Generated content is returned to ShareTrack and stored in your account
  • AI minutes generation is optional—you may write minutes manually
  • AI-drafted minutes can contain errors, leave out what was said, or include statements that were not made. Your Organization is responsible for reviewing and correcting them before approving, publishing, or relying on them

Your use of OpenAI through ShareTrack is subject to OpenAI's Terms of Service and Usage Policies.

4.4 Other Third-Party Services

ShareTrack relies on these service providers to run the Service, as described in our Privacy Policy:

  • Supabase: Hosting, database, sign-in, file storage, and server functions
  • Expo, Apple, and Google: Push notifications and updates for the ShareTrack Water app
  • Cloudflare: Off-site backup copies
  • Email delivery providers: Account and expense emails
  • Google Fonts: Fonts for the web app and this website
  • Hosting providers: The servers that deliver the web app and this website

ShareTrack may integrate with additional third-party services. Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability, functionality, or data handling practices.

4.5 OAuth and API Access

  • We store OAuth tokens required for integrations only on our servers, in a database that is encrypted at rest, and never send them to browsers or apps
  • Tokens are never exposed in URLs, logs, or error messages
  • We do not provide API access to your third-party integration data to any external parties
  • You may revoke integration access at any time, which will delete stored tokens

5. Subscription and Payment

5.1 Subscription Plans

ShareTrack offers three monthly subscription plans: Starter ($49 per month), Professional ($149 per month), and Enterprise ($349 per month). Each plan's features and limits are listed at sharetrack.org/pricing.

5.2 Fees and Billing

  • You agree to pay all fees associated with your selected subscription plan
  • Fees are billed monthly, in advance
  • All fees are exclusive of applicable taxes, which you are responsible for paying
  • We may change pricing with 30 days advance notice; changes apply at your next renewal

5.3 Free Trial

Every plan starts with a 14-day free trial, and no credit card is required to start. If you cancel during the trial, you pay nothing.

5.4 Renewal and Cancellation

Subscriptions renew automatically each month unless cancelled. You may cancel at any time by emailing support@sharetrack.org. Your subscription then ends at the end of the current billing month, your data stays accessible until then, and we provide an export of your records on request.

5.5 Refunds

Fees already paid for the current billing month are not refunded, except where the law requires a refund.

5.6 Shareholder Invoice Payments

ShareTrack does not process card or bank payments and does not collect card or bank account details. When an Organization uses the QuickBooks Online integration, its invoices can include a QuickBooks Online payment link. Shareholders who pay through that link pay the Organization through Intuit, under Intuit's terms. Each Organization is responsible for its invoices, assessments, and the payments it accepts, and questions about a charge or payment should go to the Organization that issued the invoice.

6. User Responsibilities and Acceptable Use

6.1 You Agree To:

  • Use ShareTrack only for lawful purposes and in accordance with these Terms
  • Maintain accurate, complete, and up-to-date shareholder and certificate records
  • Keep your account credentials confidential and not share them with unauthorized users
  • Comply with all applicable laws, regulations, and industry standards
  • Respect the intellectual property rights of ShareTrack and third parties
  • Promptly report any bugs, vulnerabilities, or security issues to our support team

6.2 You Agree NOT To:

  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Access the Service through automated means (bots, scrapers, etc.) without authorization
  • Circumvent any security measures or access controls
  • Use the Service to transmit malware, viruses, or malicious code
  • Interfere with or disrupt the Service or servers
  • Use the Service to develop a competing product
  • Sublicense, resell, or redistribute the Service
  • Upload content that is illegal, harmful, or infringes on third-party rights

6.3 Shareholder Requests and Public Pages

If you use ShareTrack's public pages or the ShareTrack Water app:

  • Enter only information about yourself, or information you are authorized to provide, and make requests only for certificates you own or are authorized to act for
  • Documents you attach, including a notarized affidavit of loss, must be genuine and complete
  • A transfer or replacement-certificate request is a request to the Organization. Its staff review each request, and no shares move until they approve it
  • Irrigation schedules and water status are published by the Organization, and water problem reports go to the Organization's water masters and ditch riders. We do not control water deliveries, and ShareTrack is not an emergency service
  • Questions about your shareholder records, invoices, or schedule should go to the Organization that keeps them

7. Data Ownership and Licenses

7.1 Your Data

Your Organization retains all ownership rights to data it enters into ShareTrack or brings in from QuickBooks Online ("Your Data"), including shareholder records, certificate information, invoices, irrigation schedules, meeting content, and business data. Doin processes Your Data on your Organization's behalf to provide the Service, as described in our Privacy Policy.

7.2 Organization Responsibilities

Each Organization is responsible for:

  • The accuracy and completeness of its shareholder, certificate, invoice, and schedule records
  • Having the right to enter its shareholders' and other people's personal data into ShareTrack, including giving any notices and obtaining any consents the law requires
  • Deciding who in the Organization can see and change its records, and which shareholders get accounts
  • Publishing its irrigation schedule. Schedules show each shareholder's name as last name and first initial (for example, "SMITH, J"), a trust or organization name, or a display name the Organization chooses, and are public unless the Organization sets a company code
  • Reviewing transfer and replacement-certificate requests, and the documents attached to them, before acting on them
  • Its meeting share links, which let anyone with the link see the meeting's details and minutes until the link expires, after at most one year, or the Organization turns it off

7.3 License to ShareTrack

By using the Service, you grant ShareTrack a limited, non-exclusive, worldwide license to:

  • Store, process, and transmit Your Data solely to provide the Service
  • Create backups and redundant copies for reliability and disaster recovery

Doin uses Your Data only to provide the Service, as described in our Privacy Policy. This license terminates when you delete Your Data or close your account.

7.4 Data Export

You may export Your Data at any time through the Service's export features, including downloading tables in the web app as CSV files, or by asking support@sharetrack.org for a copy of your records. Upon account termination, you will have 30 days to export Your Data before deletion.

8. Service Availability and Support

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. We are not liable for service interruptions beyond our reasonable control.

8.2 Support

We reply to support requests within 24 hours on business days, on every plan. Support channels vary by plan, as listed on our pricing page: email support on Starter, priority support on Professional, and a dedicated account manager with phone and video support on Enterprise. Our support team may access your account data solely to assist with support requests you initiate. Shareholders and ShareTrack Water app users can email support@sharetrack.org.

9. Intellectual Property

9.1 ShareTrack IP

ShareTrack and its original content, features, functionality, software, and branding are owned by Doin, LLC and protected by copyright, trademark, patent, and other intellectual property laws.

9.2 Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our written permission. You may not use our trademarks or branding without authorization.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Service.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WE ARE NOT RESPONSIBLE FOR THE ACCURACY OF DATA YOU INPUT OR DECISIONS YOU MAKE BASED ON THAT DATA
  • WE DO NOT WARRANT THE ACCURACY OF TRANSCRIPTS OR AI-DRAFTED MINUTES, WHICH ARE PROVIDED FOR YOUR ORGANIZATION'S REVIEW

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SHARETRACK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • SHARETRACK SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100)
  • THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY

10.3 Third-Party Services

We are not liable for any issues, losses, or damages arising from your use of third-party integrations and services, including QuickBooks Online, payments made through QuickBooks Online payment links, and the App Store and Google Play. Your use of such services is at your own risk.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShareTrack, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your Data or content you upload to the Service
  • Your use of third-party integrations

12. Termination

12.1 Termination by You

You may cancel your subscription and close your account at any time by emailing support@sharetrack.org, as described in Section 5.4. You can stop using the ShareTrack Water app at any time by deleting it from your phone.

12.2 Termination by ShareTrack

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our other policies
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay fees when due
  • Pose a security risk to the Service or other users

12.3 Effect of Termination

  • Your right to use the Service ceases immediately upon termination
  • You may export Your Data within 30 days of termination
  • We will delete or anonymize Your Data within 90 days after termination, except as required by law. Backup copies are deleted on the schedule described in our Privacy Policy
  • Sections 7, 9, 10, 11, and 14 survive termination

13. Privacy

Your privacy is important to us. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. It explains what we collect from Organizations and their users, from shareholders who use the public pages, and from ShareTrack Water app users, what others can see, and how long we keep it.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising under these Terms shall first be subject to informal negotiation for 30 days. If unresolved, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Salt Lake City, Utah. For individuals who use ShareTrack or the ShareTrack Water app for personal, family, or household purposes, the AAA's Consumer Arbitration Rules apply instead of the Commercial Arbitration Rules.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.

14.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or security breaches.

15. General Provisions

15.1 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use after changes constitutes acceptance.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and ShareTrack. If you downloaded the ShareTrack Water app from the App Store or Google Play, the EULA's terms for those stores also apply.

15.3 Severability

If any provision is found unenforceable, the remaining provisions continue in full force.

15.4 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

15.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.
